For The Purposes of These Terms of Use, The Term Source Intelligence Includes Source 44 LLC dba Source Intelligence, and Its affiliates and subsidiaries.
These are the Terms and Conditions, which you must agree to in order to utilize the tools, services and information made available on the Source Intelligence website from time to time (collectively, the “Source Intelligence Tools”). As used in this Agreement, the term “You” (including “you”, “Your”, and “your”) means you, along with the company, entity, or any other principal which you legally represent.
By utilizing any of the Source Intelligence Tools on the Source Intelligence website, you are entering into a binding and enforceable legal agreement with Source Intelligence (and/or its owners and operators as set forth below) and you are signifying your assent to these Terms of Use. Please read these Terms of Use carefully before registering for and/or using any of the Source Intelligence Tools. If you do not agree to these Terms of Use, please do not register for or use the Source Intelligence website or any of the Source Intelligence Tools. These Terms of Use incorporate by reference the Source Intelligence Privacy Policy and the Source Intelligence DMCA Policy, each available on the Source Intelligence website. Source Intelligence may amend these Terms of Use only as set out in the “General” section below.
The Source Intelligence Tools are intended for business use and are not directed to individuals under the age of eighteen (18). By registering for or using any of the Source Intelligence Tools, you represent and warrant that you are at least eighteen (18) years of age, that you are legally able to enter into and form contracts under applicable law, and that, where you are acting on behalf of a company, entity or other principal, you have the authority to bind that company, entity or principal to these Terms of Use.
If you, or the company or entity you represent, have entered into a Subscription Services Agreement or other written agreement with Source Intelligence governing use of the Source Intelligence Tools, that agreement will control to the extent of any conflict with these Terms of Use. In the event of a conflict, the order of precedence is: (1) the Subscription Services Agreement or other signed written agreement; (2) these Terms of Use; and (3) the Source Intelligence Privacy Policy. Nothing in these Terms of Use reduces or limits any right expressly granted to you under a signed written agreement with Source Intelligence.
By registering for the Source Intelligence platform, you additionally represent and warrant to Source Intelligence that you or the company you represent, where applicable, are not a Competitor, and are not an employee, officer, director, agent, contractor, consultant or affiliate of a Competitor, and are not accessing the Source Intelligence Tools on behalf of or for the benefit of a Competitor. For purposes of these Terms of Use, “Competitor” means any person or entity that develops, markets, resells, or provides software, data, analytics, consulting or managed services that compete with the Source Intelligence Tools, including supply chain compliance, product compliance, responsible sourcing, sustainability, or component obsolescence solutions, together with any entity that controls, is controlled by, or is under common control with such a person or entity. Source Intelligence may publish and maintain a non-exhaustive list of Competitors on the Source Intelligence website. You hereby acknowledge and agree that you will promptly notify Source Intelligence in writing in the event you or the company you represent, where applicable, become a Competitor or an employee, officer, director, agent, contractor, consultant or affiliate of a Competitor, or begin accessing the Source Intelligence Tools on behalf of or for the benefit of a Competitor.
The data you submit to the Source Intelligence website shall be stored and maintained on Source Intelligence’s servers. PLEASE NOTE THAT Source Intelligence WILL NOT STORE YOUR DATA INDEFINITELY. In the event you do not log in to your account for a period of at least six (6) consecutive months, Source Intelligence reserves the right, upon not less than thirty (30) days’ prior written notice to the email address associated with your account and after affording you a reasonable opportunity to export your data, to delete any or all of your data on the Source Intelligence servers. Your data will only be accessible to you and those individuals you provide a username and password to within your organization or any other permitted recipients. You are solely responsible for maintaining the security of such usernames and passwords, and in no event shall Source Intelligence and/or any of its affiliates be liable for the unauthorized use of misplaced, lost or stolen usernames and passwords. You must notify Source Intelligence immediately in writing in the event you become aware of lost, stolen or misplaced usernames and passwords. You may not share your account credentials with, or permit access to the Source Intelligence Tools by, any person outside your organization without Source Intelligence’s prior written consent. You shall, at all times, retain all right, title and interest in and to the data you submit to the Source Intelligence website. Source Intelligence will not knowingly use the data you submit or disclose the data you submit to any third party without your prior written consent. You are solely responsible for the accuracy and completeness of the data you submit to the Source Intelligence website through the use of Source Intelligence Tools available at the time of submission.
Source Intelligence’s collection and use of personal data in connection with the Source Intelligence website and the Source Intelligence Tools is described in the Source Intelligence Privacy Policy, available at www.sourceintelligence.com/privacy-policy, which is incorporated into these Terms of Use by reference. Where your use of the Source Intelligence Tools involves personal data subject to the EU or UK General Data Protection Regulation or other applicable data protection law, you should request to execute a Data Processing Addendum with Source Intelligence.
Subject to your compliance with these Terms of Use, Source Intelligence grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to access and use the Source Intelligence Tools for your own internal business purposes. All rights not expressly granted are reserved by Source Intelligence and its licensors. You may retain a reasonable number of copies of pages of the Source Intelligence website for your own internal reference, provided that you do not remove, obscure or alter any copyright, trademark or other proprietary notice.
As a condition of your use of the Source Intelligence Tools, you agree that you will not, and will not authorize or permit any third party to:
(1) submit any data or information that you know, or reasonably should know, to be materially false, misleading or incomplete, or submit any data that you lack a lawful basis or the necessary consents to provide;
(2) infringe or misappropriate the intellectual property, confidentiality, privacy or publicity rights of any person;
(3) use the Source Intelligence Tools for any unlawful purpose or in violation of any applicable law or regulation;
(4) upload or transmit any virus, worm, malicious code or other harmful component, or attempt to probe, scan, circumvent or defeat any security or authentication measure;
(5) interfere with or disrupt the integrity, performance or availability of the Source Intelligence Tools, or impose an unreasonable or disproportionately large load on Source Intelligence’s infrastructure;
(6) share account credentials, impersonate any person or entity, misrepresent your affiliation with any person or entity, or access any account, system or data that you are not authorized to access;
(7) use any robot, spider, crawler, scraper or other automated or manual means to access, monitor, copy or extract data or content from the Source Intelligence website or the Source Intelligence Tools, or access either other than through the interfaces and in accordance with the instructions that Source Intelligence provides;
(8) reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, data models, structure or underlying ideas of the Source Intelligence Tools, except to the extent that such a restriction is prohibited by applicable law;
(9) resell, redistribute or sublicense any content or data obtained from the Source Intelligence Tools, or use such content or data to create, enrich, verify, append to or supplement any commercial database or any competing product or service, or for purposes of benchmarking or competitive analysis;
(10) frame, mirror, cache or deep-link any part of the Source Intelligence website without Source Intelligence’s prior written consent; or
(11) use any artificial intelligence, machine learning or similar technology to train, fine-tune or develop any model on content or data obtained from the Source Intelligence Tools, or to carry out bulk extraction, analysis or interpretation of such content or data, in either case without Source Intelligence’s prior written consent.
Clause (11) is not intended to restrict your ordinary internal use of generally available productivity or assistive tools in relation to your own data. Source Intelligence may investigate any suspected violation of this section and may take any action described in the “Suspension and termination” section below.
As conditions to your use of the Source Intelligence Tools, you: (i) represent and warrant that You will not engage in and/or facilitate spamming, indiscriminate advertising or unsolicited commercial email or otherwise fail to comply with the CAN-SPAM Act of 2003 (Public Law 108-187 or any successor legislation) and any other applicable laws or regulations which govern marketing through the use of email; and (ii) you agree and consent to Source Intelligence sending you notices, announcements, promotions and offers for our products and services. You may withdraw your consent to promotional communications at any time by following the unsubscribe instructions contained in those communications or by contacting Source Intelligence as set out below. You may not opt out of transactional, administrative or service notices relating to your account or your use of the Source Intelligence Tools.
You acknowledge and agree that Source Intelligence is providing you access to the Source Intelligence Tools at no additional charge beyond any fees payable under a Subscription Services Agreement or other written agreement between us. Subject to any such agreement and to applicable law, Source 44 LLC shall not be liable to you due to any interruption in service due to scheduled or unscheduled maintenance, bug fixes, repairs, server outages or similar interruptions to the Source Intelligence Tools or Source Intelligence website which may limit or prohibit your access to your data. In the event of such an occurrence, Source Intelligence will use commercially reasonable efforts to restore access to the Source Intelligence website and Source Intelligence Tools, but cannot guarantee that such access will be restored in a timely manner, if at all. Source Intelligence may modify, suspend or discontinue any part of the Source Intelligence website or the Source Intelligence Tools at any time, and will use commercially reasonable efforts to provide notice of any material discontinuation.
The Source Intelligence website and the Source Intelligence Tools may contain links to, or interoperate with, websites, services, data sources and content controlled by third parties. Source Intelligence does not control, endorse or assume responsibility for any third-party website, service, data source or content, each of which may be governed by its own terms and privacy policy. The presence of a link does not imply any endorsement, recommendation, certification or relationship. You access third-party websites, services, data sources and content at your own risk.
If you submit any suggestions, enhancement requests, recommendations, comments or other feedback regarding the Source Intelligence website or the Source Intelligence Tools, you grant Source Intelligence a perpetual, irrevocable, worldwide, royalty-free, sublicensable and transferable license to use, reproduce, modify and incorporate that feedback for any purpose, without obligation, attribution or compensation to you. This section does not apply to the data you submit through the Source Intelligence Tools, which remains subject to the “Storage and destruction of data; Ownership; Use of email” section above, and does not apply to any information you have identified to Source Intelligence in writing as your confidential information.
The Source Intelligence website and Source Intelligence Tools are provided by Source Intelligence “as is” and “with all faults” and any express or implied warranties, including, but not limited to, the implied warranties of merchantability, infringement, and fitness for a particular purpose are disclaimed. Source Intelligence does not warrant the accuracy, completeness, currency or reliability of any content, data or output made available through the Source Intelligence Tools, including data reported by or obtained from suppliers or other third parties, and it is your responsibility to verify any such information before relying on it. Source Intelligence does not provide legal, regulatory or compliance advice, and no content, data or output made available through the Source Intelligence Tools constitutes legal or regulatory advice or a determination that you or any product, supplier or facility complies with any law, regulation or standard. Any content or output generated using artificial intelligence or other automated features is provided for informational purposes only, without warranty of any kind, and Source Intelligence disclaims all liability arising from reliance on it. In no event shall Source Intelligence and/or its affiliates be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services; loss of use, data, or profits; or business interruption) however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use of this software, even if advised of the possibility of such damage. Source 44 LLC dba Source Intelligence and/or its owners, operators, employees, directors, officers, consultants, successors and assigns, and other agents shall not be liable for any loss, costs, damage or expense incurred by you as a result of any services provided by Source 44 LLC and/or its affiliates including, without limitation, any technical malfunction, computer error, loss of data, delay in operation, computer viruses, communication line failure, destruction or unauthorized use or access to any websites or records, or other injuries, damage or disruption. Source 44 LLC makes no representations that the operation of the Source Intelligence website or the Source Intelligence Tools will be uninterrupted or error-free and will not be liable for the consequences of any interruptions or errors. You further agree that you will not hold Source 44 LLC and/or its affiliates or subsidiaries responsible for any acts, errors, or omissions of any third party in connection with the Source Intelligence website or the Source Intelligence Tools.
NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS OF USE, THE TOTAL AGGREGATE LIABILITY OF SOURCE INTELLIGENCE AND ITS AFFILIATES ARISING OUT OF OR RELATING TO THESE TERMS OF USE, THE SOURCE INTELLIGENCE WEBSITE OR THE SOURCE INTELLIGENCE TOOLS, ON ALL THEORIES OF LIABILITY COMBINED, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SOURCE INTELLIGENCE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE THOUSAND U.S. DOLLARS (US$1,000).
The foregoing exclusions and limitations do not apply to liability for gross negligence, willful misconduct or fraud, or to any liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of certain damages, so some of the foregoing disclaimers, exclusions and limitations may not apply to you; in those jurisdictions they will apply to the maximum extent permitted by applicable law. These limitations apply even if any limited remedy is found to have failed of its essential purpose.
To the extent permitted by applicable law, You agree to indemnify and hold Source 44 LLC and its officers, directors, agents, affiliates, employees, successors, and assigns, from and against all claims, actions, liabilities, losses, expenses, damages, and costs (including without limitation reasonable attorneys’ fees) resulting from claims or actions arising out of or in connection with (i) your use of the Source Intelligence website and Source Intelligence Tools and (ii) any violation of the right of privacy or publicity, copyright infringement, trademark infringement or other infringement of any third party right, fraud, false advertising, misrepresentation, product liability or violation of any law, statute, ordinance, rule, or regulation throughout the world in connection with your website(s). You agree that you are solely responsible for defending any claim and for payment of damages or losses resulting from the foregoing to both a third party and to Source 44 LLC. Source Intelligence will provide you with prompt written notice of any claim for which it seeks indemnification and will reasonably cooperate in the defense of that claim at your expense. You may not settle any claim in a manner that imposes any obligation or liability on Source Intelligence, or that includes any admission of fault by Source Intelligence, without Source Intelligence’s prior written consent.
You may stop using the Source Intelligence Tools at any time. Source Intelligence may suspend or terminate your access to all or part of the Source Intelligence website and the Source Intelligence Tools if Source Intelligence reasonably believes that you have breached these Terms of Use, that your use presents a security, legal or operational risk, or that suspension or termination is required by applicable law. Where practicable and not prohibited by law, Source Intelligence will give notice of, and a reasonable opportunity to cure, a suspected breach that is capable of cure. Source Intelligence may also disable or terminate the accounts of Customers and Authorized Users who are repeat infringers of intellectual property rights, in appropriate circumstances, as described in the Source Intelligence DMCA Policy. The sections of these Terms of Use addressing acceptable use, data ownership, warranty disclaimer and limitation of liability, indemnity, and the General section survive any termination.
You represent and warrant that neither you nor, where applicable, the company or entity you represent is (i) located in, organized under the laws of, or ordinarily resident in any country or territory that is the subject of comprehensive economic sanctions, or (ii) identified on any restricted or denied party list maintained by the U.S. government, including the Specially Designated Nationals and Blocked Persons List, the Denied Persons List, the Entity List or the Debarred List, or on any equivalent list maintained by the European Union, the United Kingdom or the United Nations. You agree to comply with all applicable export control, import, customs and economic sanctions laws and regulations in connection with your use of the Source Intelligence Tools, and you will not submit to the Source Intelligence website any information that is classified or that is controlled under the International Traffic in Arms Regulations or any comparable regime. You will promptly notify Source Intelligence in writing if any of the foregoing representations ceases to be accurate.
Source Intelligence respects the intellectual property rights of others and requires that its Customers and their Authorized Users do the same. Notices of claimed copyright infringement must be submitted in accordance with the Source Intelligence DMCA Policy, available at www.sourceintelligence.com/dmca-policy, which is incorporated into these Terms of Use by reference, and which describes Source Intelligence’s policy of terminating, in appropriate circumstances, the accounts of repeat infringers.
These Terms of Use shall be governed by and construed in accordance with the substantive laws of the State of California and jurisdiction and venue of all matters relating to this agreement shall be vested exclusively in San Diego County, State of California, and you agree to the jurisdiction of such courts. These Terms of Use constitute the entire agreement between the parties concerning the subject matter hereof and supersede all prior and contemporaneous agreements and understandings, subject to the “Relationship to other agreements” section above. You have relied upon no representations, oral or otherwise, not contained within these Terms of Use. The invalidity or unenforceability of any provision of these Terms of Use will not affect the validity or enforceability of any other provision of this policy. In receiving any dispute or construing any provision in the policy, there shall be no presumptions made or inferences drawn because one of the parties drafted the Agreement, from the titles of the sections of this policy which are for convenience only. A waiver by Source 44 LLC dba Source Intelligence of any term or condition of these Terms of Use in any instance will not be deemed or construed as a waiver of such term or condition for the future or any subsequent breach thereof. The parties are independent contractors and no employment, agency, partnership or joint venture is created hereunder. No party shall have the right to act as the agent for or to bind the other. These Terms of Use are not for the benefit of any third party, and shall not be considered to grant any right or remedy to any third party whether or not referred to in this policy. Source 44 LLC dba Source Intelligence reserves the right to change the terms upon which it offers the Source Intelligence Tools to the public and may change this policy by posting such changes and, in the case of changes that materially affect your rights or obligations, by giving notice by email to the address associated with your account or through the Source Intelligence Tools not less than thirty (30) days before those changes take effect. Your continued use of the Source Intelligence Tools following such changes shall be deemed an assent to such changes. If you do not agree to a change, you must stop using the Source Intelligence Tools before that change takes effect. The date on which these Terms of Use were last updated is stated at the end of this page.
Any claim or cause of action arising out of or relating to these Terms of Use, the Source Intelligence website or the Source Intelligence Tools must be commenced within one (1) year after the claim or cause of action accrues, except where a longer period is required by applicable law.
Neither party will be liable for any delay or failure to perform to the extent resulting from any cause beyond its reasonable control, including acts of God, natural disaster, epidemic, war, terrorism, civil unrest, labor dispute, governmental action, utility or telecommunications failure, or the failure of a third-party service provider.
You may not assign or transfer these Terms of Use, or any rights or obligations under them, by operation of law or otherwise, without Source Intelligence’s prior written consent. Source Intelligence may assign these Terms of Use in connection with a merger, acquisition, reorganization or sale of all or substantially all of its assets.
Notices to Source Intelligence must be given in writing to Source 44 LLC dba Source Intelligence, Attention: Legal Department, 4660 La Jolla Village Drive, Suite 100, San Diego, CA 92122, with a copy by email to legal@sourceintelligence.com. Source Intelligence may give notice to you by email to the address associated with your account, by posting on the Source Intelligence website, or through the Source Intelligence Tools.
The Source Intelligence website is owned by Source 44 LLC dba Source Intelligence, 4660 La Jolla Village Drive, Suite 100, San Diego, CA 92122. Please direct questions concerning this Agreement to legal@sourceintelligence.com. All content included on and in the Source Intelligence website and the Source Intelligence Tools, including without limitation text, graphics, logos, button icons, images, audio clips, and software, is the property of Source Intelligence or its content suppliers and is protected by the U.S. and international copyright laws. All software used in the Source Intelligence Tools is the property of Source 44 LLC dba Source Intelligence or its software suppliers and protected by the U.S. and international copyright laws.
“Source Intelligence”, the Source Intelligence logo, “Footprint Data Sheet”, “Source 44” and “Source Alert” are registered marks of Source 44 LLC dba Source Intelligence. The absence of a product or service name or logo from this list does not constitute a waiver of Source 44 LLC’s trademark or other intellectual property rights concerning that name or logo.
